Wholesale Terms & Conditions – Happy Lona
1. General
These Wholesale Terms & Conditions apply to all B2B orders placed with Happy Lona. By
placing a wholesale order, the customer agrees to these terms in full. All agreements are
governed by Dutch law.


2. Eligibility
Wholesale pricing is available only to approved retail partners with an active customer
account tagged as 'wholesale'. Happy Lona reserves the right to accept or decline wholesale
accounts at its discretion.


3. Pricing
- Wholesale prices are exclusive of VAT and shipping costs.
- Prices may be updated at any time.
- Only customers with the correct wholesale tag can view wholesale prices after logging in.


4. Minimum Order Requirements- A minimum order value applies unless otherwise agreed in writing.
- Reorders also require a MOQ, unless explicitly agreed otherwise in writing.


5. Payment Terms
- All invoices must be paid prior to shipment unless otherwise agreed in writing.
- Payments are accepted exclusively via Mollie (PayPal, credit card, Bancontact, Klarna).
- Late payments may result in delayed deliveries or suspension of the wholesale account.


6. Delivery & Shipping
- Shipping costs are charged to the customer unless otherwise agreed.
- Delivery times are estimates and may vary depending on availability and destination.
- Risk transfers to the customer once the parcel is handed to the carrier.


7. Returns & Claims (B2B)
For business orders, no right of withdrawal applies.
Returns are only accepted with prior written approval and under the following conditions:
- Claims must be submitted within 5 business days with photos and order number.
- Returns are accepted only for proven production defects or transport damage.
- Custom-made, personalized, or sale items are non-returnable.
- Approved returns will be credited or replaced.
- Return shipping costs are the customer’s responsibility unless otherwise agreed.


8. Product Variations
As many items are handmade, slight variations in color, size, and materials may occur.
These variations are inherent to artisanal production and are not considered defects.


9. Intellectual Property & Branding
- All product designs, images, and brand assets remain the property of Happy Lona.
- Retailers may use provided images for marketing but may not alter them without
approval.
- Rebranding or removing the Happy Lona brand is not allowed unless expressly agreed.


10. Resale Requirements
- Products must be sold at fair market retail prices.
- Excessive discounts that undermine brand value are not permitted.
- Online resale on third‑party marketplaces (Amazon, Bol.com, Etsy, Faire) is not allowed
unless explicitly approved in writing.


11. Order Cancellations
Orders cannot be cancelled after production or packing has started. Stock cancellations
require written approval.


12. Liability
Happy Lona is not liable for indirect damages, loss of profit, or delays caused by carriers or
external factors.


13. Governing Law
All wholesale agreements are governed by Dutch law. The court of Arnhem has exclusive
jurisdiction.
